MiniMed: A Good Split-off Setup, but No Margin of Safety Yet
Medtronic is out and 90% of MiniMed shares sit with exchangers under water. The margin bet only pays for me below $16.70.
Anyone who swapped one Medtronic share for MiniMed on 9 October now owns 4.5939 MiniMed shares worth $82.64. The Medtronic share they gave up trades at $92.72.[1][10] The announced 7% exchange discount has not just evaporated; the exchangers are about 11% behind. Roughly 253 million shares, 90% of the company, landed with exactly these investors in one go.[1][9] I see this as the classic spin-off setup in which shares are sold out of indifference rather than conviction.
Since 14 October 2026 MiniMed has been fully separated from Medtronic, and its new owners are mostly involuntary holders. If management lifts the adjusted EBITDA margin from 6% in FY26 to the confirmed ~16% in FY27, I see a value of $23.94 at 12x. If the margin fails, my value is $12.73. With a 50% probability, that gives only 2.9% p.a. to June 2027 at a price of $17.99, far below my 15% hurdle. Rating: EventDriven, watch, entry only below $16.70.
- Type: split-off via exchange offer (IPO 6 March 2026, exchange until 9 October 2026, completion 14 October 2026)[1][3][9]
- Exchange ratio: 4.5939 MMED per MDT share, upper limit applied[2]
- Exchanged: 252.8m MMED for 55.0m MDT shares, proration factor 18.29%[1]
- Medtronic stake afterwards: 0%[1]
- Tax (US): generally tax-free according to Medtronic[3]
- Hard deadline of this thesis: 30 June 2027 (FY27 results)
This article values the separated subsidiary. I analyse the parent after the split-off in Medtronic: Strong Quarter, Solid Value, but No 15% Return.
1. The sellers are already here
A split-off works differently from an ordinary spin-off. Medtronic did not hand out the shares; it offered shareholders the chance to swap Medtronic stock for MiniMed at a 7% discount.[3] The offer was oversubscribed: only 18.29% of the tendered Medtronic shares were accepted.[1] Many participants simply wanted the discount, not ownership of a diabetes company.
Then there is the cap. The ratio was limited to 4.5939, and that limit applied.[2] Exchangers therefore received less than the promised $107.53 of MiniMed value per $100 of Medtronic.[3] Today the equivalent is 11% below the share they surrendered [own calculation: 4.5939 Γ $17.99 Γ· $92.72 β 1].
The structure adds pressure. MiniMed pays no dividend, reports GAAP losses and, at a $5.06bn market cap, is a fraction of Medtronic at $118.6bn.[4][10] It does not fit an income-oriented Medtronic portfolio. A counter-effect is possible: the free float jumps from 10% to 100%, which could force index buying. I cannot document this from primary sources, so I do not count on it.
Verdict on forced sellers: β met.
2. The hidden value is a margin bet
MiniMed grows decently but earns little. In FY26 revenue rose 8.0% organically to $3.102bn, while the adjusted EBITDA margin fell to 6% ($202m after $253m the year before).[4][5] The bottom line was a $317m loss, including a one-off $157m charge for royalty payments to Blackstone.[4]
Q1 FY27 was strong on revenue: $843m, +15.8% organic, driven by the US launch of the MiniMed Flex insulin pump.[6] The extra week in the fiscal calendar, however, added 4β6 percentage points.[6] The adjusted EBITDA margin was 9.9%, or 12.2% excluding special items.[7]
Even so, management confirms around 16% margin for the full year on about 10.5% organic growth.[6] If that is achieved, MiniMed is not expensive. If it is missed, the price is fair. That is the whole value.
| Metric | FY25 | FY26 | Q1 FY27 | FY27e (guidance) |
|---|---|---|---|---|
| Revenue ($m) | 2,700 | 3,102 | 843 | β |
| Organic growth | β | 8.0% | 15.8% | ~10.5% |
| Adjusted EBITDA ($m) | 253 | 202 | 83 | β |
| Adjusted EBITDA margin | 9% | 6% | 9.9% | ~16% |
Sources: FY25/FY26 from the 10-K and S-1/A,[4][12] Q1 from the quarterly release and earnings call,[6][7] guidance from the quarterly release.[6] The 10-K gives FY25 revenue rounded to $2.7bn. βββ means: not collected by me.
Verdict on hidden value: β with reservation. The value exists only if the margin arrives.
3. Insider alignment: not yet documented
Numerous insider filings (Forms 3 and 4) exist for MiniMed. I have not yet been able to extract management's pay structure and its equity share from primary sources. Without evidence I do not score it.
Verdict on insider alignment: β οΈ open until I have evaluated the proxy and Form 4 filings.
Result of the screen: two of three criteria met, hidden value positive. Under my method the analysis may continue, with a documented reservation.
4. What MiniMed is worth: $12.73 or $23.94
Because MiniMed is a single business, my sum of the parts has three lines: the operating business at today's market multiple, net cash, and the gap to the target multiple. I show the gap separately so it stays visible which part of the value is pure re-rating.
| Component | Method | $m | Derivation |
|---|---|---|---|
| MiniMed operating | EV/EBITDA 8.95x | 4,907 | paid by the market today |
| Net cash | Book value | +154 | 207 cash β 53 leases |
| Multiple gap | +3.05x | +1,674 | 12x instead of 8.95x |
| Value if successful | 6,735 | $23.94 per share |
This is how the inputs are built [own rough calculation]:
| Step | Input | Result |
|---|---|---|
| Revenue FY27e | $3,102m Γ 1.105 | $3,428m |
| EBITDA at 16% | 3,428 Γ 0.16 | $548m |
| Enterprise value today | $17.99 Γ 281.35m β 207 + 53 | $4,907m |
| Multiple today | 4,907 Γ· 548 | 8.95x |
| Value if successful | (548 Γ 12 + 154) Γ· 281.35 | $23.94 |
| Value if failed | (343 Γ 10 + 154) Γ· 281.35 | $12.73 |
Formula: value per share = (EBITDA Γ multiple + net cash) Γ· share count. Simplified: organic growth applied to FY26 revenue without currency effects, cash and shares at the latest reported level.[4][8][10]
Why 12x? Insulet, the most profitable pump competitor, trades at 15.8x EBITDA with a 20% margin and around 16% expected growth. Dexcom is at 22.5x; Tandem has negative EBITDA and trades at 1.37x revenue.[11] I put MiniMed about a quarter below Insulet because the margin still has to be proven and MiniMed partly depends on Abbott for sensors.[4] The failure case assumes the margin stays near the Q1 level (around 10%) and the market then pays 10x.
Margin fails (50%)
$12.73
- EBITDA margin FY27 ~10%
- 10x EBITDA, β29% from price
Margin succeeds (50%)
$23.94
- EBITDA margin FY27 ~16% as planned
- 12x EBITDA, +33% from price
5. Risk-adjusted, it falls short
I set the probability at 50%. Guidance is confirmed and revenue is running, but Q1 at 9.9% was far below the annual target, and management must cover well over half the distance in three quarters.[6][7]
| Step | Calculation | Result |
|---|---|---|
| Return if successful | 23.94 Γ· 17.99 β 1 | +33.1% |
| Return if failed | 12.73 Γ· 17.99 β 1 | β29.2% |
| Risk-adjusted | 0.5 Γ 33.1% + 0.5 Γ (β29.2%) | +1.9% |
| Annualised | (1.019)^(1 Γ· 0.668) β 1 | 2.9% p.a. |
| Entry for 15% p.a. | (0.5 Γ 23.94 + 0.5 Γ 12.73) Γ· 1.15^0.668 | $16.70 |
Formula: risk-adjusted return = p Γ return if successful + (1 β p) Γ return if failed; term 244 days to 30 June 2027 = 0.668 years [own rough calculation].
The result is highly sensitive to the probability. At 65% it would be 17.3% p.a., at 80% even 32.4% p.a. [own calculation]. I stay at 50% because I will only believe the margin target once Q2 supports it. MiniMed therefore clearly misses my 15% p.a. hurdle.
βThe setup is right, the price is not yet. I am waiting for the sell-off or for a quarter that proves the margin.β
6. Medtronic: a small buyback, no catalyst of its own
For Medtronic the exchange was a buyback without cash: 55.0m own shares were retired, about 4.3% of the share count [own calculation on 1.28bn shares].[1][10] At the same time a loss-making, low-margin business leaves the group. Medtronic trades at 15.5x expected earnings with a 3.1% dividend yield.[10]
I see no separate event thesis for Medtronic. The effect is positive but small and hardly a re-rating trigger for a group of this size. The quality check of the parent, with return on capital and fair value, is in my analysis Medtronic: Strong Quarter, Solid Value, but No 15% Return.
7. Quality of the remaining company: MiniMed fails the test today
MiniMed reports GAAP losses (FY26: β$317m), and operating cash flow was negative at β$197m in FY26 and β$49m in Q1 FY27.[4][8] There is currently no positive spread between return on capital and cost of capital. That is why I treat MiniMed as a special situation with an expiry date, not as a long-term holding. If the margin reaches 16%, I will re-test the return on capital.
Growth is not creating value at the moment either. Revenue rose from $2,700m to $3,102m, while adjusted EBITDA fell from $253m to $202m over the same period, and operating cash flow in FY26 was β$197m.[4][8][12] Each additional dollar of revenue earned less than the one before. I therefore do not let growth add value in my valuation: the value in the success case rests solely on the margin turnaround, not on more revenue.
Test return on capital above cost of capital: β currently not met. Test growth quality (return on incremental invested capital above the cost of capital): β currently not met.
8. The risks: margin target, sensor supplier, Blackstone
- Selling pressure from exchangers may last beyond 90 days
- Insider alignment not documented
- 16% margin target ambitious after 9.9% in Q1
- Q1 growth inflated by 4β6 points from the extra week
- Abbott is the exclusive supplier of third-party sensors, with termination rights
- Blackstone obligations: up to $216m termination payment per agreement
- Strong competitors Insulet and Tandem
- Separation costs weigh on cash flow (Q1: $111m)
Evidence: Abbott and Blackstone from the 10-K,[4] separation costs from the earnings call.[7]
Briefly noted
- MiniMed does not plan to pay a dividend for the foreseeable future.[4]
- The MiniMed Flex pump launches in Europe from November; MiniMed Fit is under FDA review.[7]
- Analysts see an average price target of $25 across 16 analysts.[10] It plays no role in my valuation.
- Revenue FY27e = FY26 revenue Γ 1.105, without currency effects.
- The $53m of financial debt consists of leases according to the market data source, not yet checked against primary sources; total liabilities are $1,098m.[8]
- Cash $207m per SEC XBRL; the market data source shows $298m for the same date.
- Target multiple 12x and failure multiple 10x are my assumptions; probability 50%.
- Sensitivity with a 20% haircut on the margin: multiple paid today 11.2x instead of 8.95x.
- Index inclusion of MMED is not documented in primary sources.
- Management pay and insider ownership have not yet been evaluated from the proxy and Form 4 filings.
Monitoring
| Date | Checkpoint |
|---|---|
| 13 Nov 2026 (+30 days) | Price vs. $16.70, insider buying, index inclusion |
| Q2 FY27 (date not yet known) | Q2 EBITDA margin clearly above 12%? |
| 13 Dec 2026 (+60 days) | Price vs. value range, analyst initiations |
| 12 Jan 2027 (+90 days) | End of the selling window, reassess thesis |
| 30 Jun 2027 | Hard deadline: FY27 margin reached or not |
Conclusion
MiniMed has all the ingredients of a good spin-off: 90% involuntary holders, a price below the IPO price and a margin turnaround the market does not believe. At $17.99, however, I pay too much for the uncertainty. My risk-adjusted return is 2.9% p.a., my hurdle 15%.
Rating: EventDriven, watch. I will only buy below $16.70 or once a quarter proves the margin and I can raise the probability.
Exit triggers: Q2 margin clearly below 12% (thesis broken), price above $23.94 (value reached) or the hard deadline on 30 June 2027.
